1. Agreement to Terms

By accessing or using Beffer ("Platform", "Service"), you agree to be bound by these Terms and Conditions. If you disagree with any part, you may not access the service.

2. Definitions

• "Buyer" – A user requesting quotes for products or services
• "Supplier" – A user providing quotes and services
• "Manufacturer" – A user managing product distribution and supplier relationships
• "RFQ" – Request for Quote submitted by a buyer or forwarded by a supplier
• "Forward-to-Beffer" – Paid quote desk feature where a supplier forwards buyer emails, RFQs, attachments or tender requests into Beffer
• "Quote Pack" – A structured case containing RFQ details, files, clarifications, assumptions, exclusions and draft quote material where available
• "Quote" – A supplier-approved response to an RFQ
• "Beffer-fee credit" – Non-cash credit on paid plans that may offset eligible Beffer fees when work is won

3. Eligibility

To use Beffer, you must:

• Be at least 18 years old
• Represent a legitimate UK business or be a UK resident
• Provide accurate and complete information
• Maintain the security of your account

4. Account Registration

When you create an account:

• You're responsible for all activity under your account
• You must provide accurate information
• One account can have multiple roles (buyer, supplier, or both)
• You must not share your magic link with others

5. Subscriptions, Quote Desk Access and Beffer-Fee Credit

• Free suppliers may receive Beffer-originated opportunities only and do not receive Forward-to-Beffer access.
• Paid plans create Beffer-fee credit only after successful subscription payment. Growth includes £99/month, Pro includes £299/month and Enterprise includes £499/month.
• Beffer-fee credit is applied automatically by the system to eligible Beffer fees, using oldest-expiring credit first.
• Credit cannot exceed the eligible Beffer fee on a transaction.
• Beffer-fee credit rolls for up to 6 months while the supplier remains on an active paid plan.
• Credit expires after 6 months and unused credit is lost if the supplier cancels, becomes inactive, or fails to maintain an active paid plan.
• Credit is not cash, is non-transferable, is not refundable, and does not pay monthly subscription invoices.
• Credit applies only to eligible Beffer-originated and Beffer-assisted won-work fees.
• Credit does not apply to add-ons, setup services, overage packs, managed services or third-party costs unless we explicitly add that later.
• If an order, payment, refund, reversal or chargeback affects a credited fee, the related credit application may be reversed, voided or adjusted according to Beffer's records.
• Beffer may withhold, reverse or forfeit credit in cases of fraud, abuse, bypassing or fee avoidance.
• Subscription limits, shared company inbox access, named users, team features and fair-use controls may vary by plan.

6. Beffer Fees

For Suppliers

• Beffer-originated won-work fee varies by subscription tier.
• Supplier-forwarded assisted won-work fee applies to eligible Forward-to-Beffer cases on paid plans.
• Eligible Beffer-fee credit is applied before the net Beffer fee is deducted via Stripe Connect.
• You must not bypass Beffer fees for Beffer-originated or Beffer-assisted cases.

For Buyers

• No fees for requesting quotes
• Standard payment processing via Stripe Connect

7. Payments

All payments are processed via Stripe Connect:

• Beffer never holds your money
• Funds go directly from buyer to supplier
• Platform fees are deducted automatically
• Refunds are handled between buyer and supplier directly

8. Quote Desk, Drafting and Human Approval

• Beffer may use software-assisted parsing, extraction, workflow automation and drafting to prepare quote packs.
• Beffer does not install, fulfil, deliver, or guarantee supplier work.
• Beffer does not send supplier quotes without human approval.
• The supplier remains responsible for final quote accuracy, price, scope, assumptions, exclusions, suitability, delivery, installation and fulfilment.
• If supplier pricing, catalogue or template data is used, the supplier remains responsible for keeping that data accurate and current.

9. Supplier Responsibilities

As a supplier, you agree to:

• Provide accurate quotes and timelines
• Respond to RFQs in a timely manner
• Honor accepted quotes
• Maintain professional communication
• Comply with all UK trading laws

10. Buyer Responsibilities

As a buyer, you agree to:

• Provide accurate project requirements
• Pay for accepted quotes promptly
• Communicate professionally with suppliers
• Leave honest reviews after project completion

11. Prohibited Conduct

You may not:

• Bypass the platform to avoid fees on Beffer-originated or Beffer-assisted cases
• Provide false or misleading information
• Harass, threaten, or abuse other users
• Upload malicious code or viruses
• Scrape or copy platform data without permission
• Create fake reviews or manipulate ratings

12. Operational Signals

Where enabled, Beffer may show internal operational signals based on:

• Quote acceptance rates
• Response times
• Customer reviews
• Referrals

These signals are not a guarantee of supplier quality, buyer payment, compliance status or future matching.

13. Manufacturer Relationships

Where manufacturer/pricing workflows are enabled, manufacturers or supplier groups may establish:

• Exclusive relationships: Only approved suppliers can quote
• Preferred relationships: Supplier gets priority in matching
• Allowed relationships: Supplier can quote but no priority

These workflows are operational settings, not a guarantee of exclusivity, product suitability or supplier performance. Disputes about manufacturer relationships must be resolved directly between parties.

14. Intellectual Property

Beffer owns all platform IP, including:

• Platform design, code, and features
• Beffer branding and logos
• Aggregated data and insights

You retain ownership of your content (quotes, RFQs, project specs).

15. Liability & Disclaimers

Beffer is a quote operations and workflow platform. We:

• Do not guarantee quote acceptance or project completion
• Are not responsible for disputes between buyers and suppliers
• Do not verify the quality of work performed
• Provide the platform "as is" without warranties

Our maximum liability is limited to the fees you've paid in the last 12 months.

16. Termination

We may suspend or terminate your account if you:

• Violate these terms
• Engage in fraudulent activity
• Abuse other users
• Fail to pay platform fees

You can close your account anytime via your dashboard settings.

17. Changes to Terms

We may update these terms from time to time. We'll notify you of significant changes via email. Continued use after changes means you accept the new terms.

18. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be resolved in UK courts.
